Terms & Conditions
Last updated: November 2026
These Terms & Conditions govern quotations, orders and supply agreements between Soma Prototype Manufacturing Limited (“SOMA Prototype”, “we”, “us”), registered office at Room 2, 3/F., Ruby Commercial Building, 480 Nathan Road, Kowloon, Hong Kong, and the customer (“you”). By accepting a quotation or placing a purchase order, you agree to these terms.
1. Quotations
Quotations are valid for 30 days unless stated otherwise. Prices are based on the CAD data, drawings, materials, volumes and tolerances provided at the time of quotation. Changes to any of these inputs may result in re-quotation.
2. Orders and Confirmation
An order becomes binding when we confirm it in writing. Tooling orders are confirmed upon receipt of the tooling deposit and final approval of mold design. Production orders are confirmed upon receipt of payment or an approved credit arrangement.
3. Tooling Ownership, Storage and Maintenance
Unless otherwise agreed in writing, molds are the property of the customer upon full payment. Molds remaining at our facility for production programs are stored, insured and maintained by us at no charge for the duration of the active supply program. A program is considered active while at least one production order is placed within any 12-month period. Customers may recall molds with 30 days written notice; molds are shipped in working condition with the most recent trial report.
4. Samples and Approval
First-article (T1) samples are provided for approval before production begins. Production parts are manufactured to the approved sample and the agreed drawing. Approval of T1 samples constitutes acceptance of the tooling for production.
5. Quality and Claims
Unless otherwise agreed in writing, cosmetic inspection follows AQL 2.5 and critical dimensions follow a zero-defect (C=0) plan. Claims must be submitted in writing within 30 days of receipt, with photographs and the affected quantity. Verified non-conforming parts will be replaced, repaired or credited at our discretion. Liability is limited to the value of the affected order.
6. Lead Times and Delivery
Lead times are quoted in working days from design approval (tooling) or order confirmation (production). We are not liable for delays caused by force majeure, customs inspections, or carrier disruptions. Delivery terms (EXW, FOB, DDP) are stated on each quotation.
7. Payment
Standard terms: tooling — 50% deposit with order, 50% upon T1 sample approval; production — T/T before shipment. Net terms are available to wholesale program customers after three completed orders. Overdue amounts accrue interest at 1.5% per month.
8. Intellectual Property
All drawings, CAD data and product designs you provide remain your property. We use them solely to fulfill your orders and never manufacture your parts for third parties. Mutual NDAs are executed on request before drawing review.
9. Warranty on Tooling
Molds are warranted to their rated shot life under normal operating conditions with scheduled maintenance performed by us. Wear parts (ejector pins, springs, seals) replaced during maintenance are covered for program customers.
10. Governing Law
These terms are governed by the laws of the People’s Republic of China. Disputes will first be addressed through good-faith negotiation; failing that, by arbitration in Shenzhen under CIETAC rules.
